PLEASE READ THESE TERMS CAREFULLY. By accessing www.osiris.tech or submitting any inquiry through the site, you agree to be legally bound by the terms set out in this document. If you do not agree, stop using the site immediately.

    1. About Osiris.TECH

Our website at www.osiris.tech (the “Site”) is an informational resource. It describes our services, showcases our work, and provides a way for prospective clients to reach us. No services or products are purchased directly through the Site. All engagements are formalized through separately executed written agreements.

Throughout this document, “you” or “Client” refers to the individual reading these Terms, whether on their own behalf or on behalf of a business. “Services” refers to the Site and any related informational resources, contact tools, or content we make available at www.osiris.tech.

    2. Scope and Acceptance

These Terms of Service (“Terms”) govern every interaction you have with the Osiris.TECH website. They create a binding legal agreement between you and Osiris, LLC the moment you access the Site.

    These Terms cover:

    • Your access to and use of www.osiris.tech and all pages within that domain
    • Any forms, tools, or resources made available through the Site
    • Communications initiated through the Site, including contact form submissions

These Terms do not cover the delivery of contracted managed IT services. Engagements between Osiris.TECH and its clients are governed by a separately negotiated and signed Master Service Agreement (“MSA”) and applicable Statements of Work (“SOW”). Where these Terms and a signed service agreement conflict, the signed service agreement takes precedence.

We may revise these Terms at any time. When we do, we update the “Last Revised” date at the top of this document. Significant changes will be noted on the Site. Continued use of the Site after a revision is posted constitutes your acceptance of the updated Terms.

    3. Who May Use the Site

The Osiris.TECH website is intended for business use by adults with the legal capacity to enter binding agreements. By using the Site, you confirm that:

    • You are at least 18 years old, or the age of legal majority in your jurisdiction if higher
    • If you are accessing the Site on behalf of an organization, you have authority to bind that organization to these Terms
    • You will use the Site only for lawful purposes and in a manner consistent with applicable law
    • All information you submit through the Site is accurate, current, and not misleading

We reserve the right to restrict or deny access to the Site for any reason, including where we have grounds to believe a user is acting in bad faith or in violation of these Terms.

    4. Intellectual Property

    4.1 What We Own

The entire contents of the Osiris.TECH website — including all text, graphics, layout, photographs, illustrations, icons, software, and code — are the property of Osiris LLC or its licensors and are protected by United States and international copyright, trademark, and trade secret law.

The Osiris.TECH name, logo, and all associated product and service names are trademarks of Osiris LLC. Nothing on the Site transfers any trademark rights to you, expressly or by implication.

    4.2 What You May Do

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access the Site and read its content for the purpose of evaluating our services or conducting legitimate business with us. Within that license you may:

    • Browse any page of the Site
    • Print or save a single copy of a page for personal, non-commercial reference, provided all copyright and trademark notices remain intact

Nothing in these Terms grants you the right to reproduce, publish, distribute, modify, reverse-engineer, sublicense, or commercially exploit any part of the Site or its content without our prior written consent.

    4.3 Content You Submit

When you send us a message, inquiry, idea, or feedback through the Site (“Submission”), you grant Osiris.TECH a non-exclusive, royalty-free, worldwide license to use, reproduce, and share that Submission for any lawful purpose connected with operating or improving our business. You represent that you own or have the right to share anything you submit, and that your Submission does not infringe any third-party rights.

We do not treat unsolicited Submissions as confidential. If you need to share sensitive or proprietary information with us, please establish a signed non-disclosure agreement before doing so.

    5. Acceptable Use

The Site is provided to facilitate legitimate business interactions. The following activities are prohibited, whether carried out directly or through automated means:

    5.1 Security and Integrity

    • Attempting to gain unauthorized access to any part of the Site, its underlying servers, or connected networks
    • Introducing malware, ransomware, viruses, spyware, or any other malicious or disruptive code
    • Scanning, probing, or testing the vulnerability of the Site or its infrastructure without written authorization from Osiris.TECH
    • Circumventing or attempting to defeat any authentication, access control, or security feature of the Site
    • Intercepting or attempting to intercept data transmissions to or from the Site

    5.2 Data and Content

    • Scraping, crawling, or using automated tools to extract content or data from the Site at scale
    • Framing or embedding Site content within another website or application without written permission
    • Reproducing, republishing, or distributing Site content for commercial purposes without prior written consent
    • Submitting false, misleading, or fraudulent information through any contact form or tool on the Site

    5.3 Conduct

    • Impersonating any person or entity, or misrepresenting your affiliation with any organization
    • Harassing, threatening, or abusing Osiris.TECH personnel through any channel connected to the Site
    • Using the Site in connection with any activity that violates applicable federal, state, local, or international law
    • Using contact forms or other Site features to send unsolicited commercial messages (spam)
    • Engaging in any conduct that, in our reasonable judgment, damages the reputation or operation of Osiris.TECH

Violations of this section may result in immediate suspension of your access to the Site, and we reserve the right to report serious violations to law enforcement authorities where appropriate.

    6. Managed IT Services — General Framework

This section provides a general overview of how Osiris.TECH structures its client engagements. Specific service terms, pricing, SLAs, and scopes of work are established exclusively through individually negotiated, signed written agreements.

    6.1 How Engagements Are Formed

A managed service relationship begins when both parties execute a Master Service Agreement and, where applicable, one or more Statements of Work. These documents define the specific services to be delivered, the applicable service level commitments, fees, billing cycles, and any regulatory or compliance requirements relevant to the engagement. Until a written agreement is signed by authorized representatives of both parties, no service obligation exists on either side.

6.2 What We Expect from Clients

Effective service delivery depends on a cooperative relationship. Clients engaging Osiris.TECH agree to:

    • Designate a named point of contact with decision-making authority for IT matters
    • Provide timely access to systems, environments, credentials, and personnel as reasonably needed for Osiris.TECH to perform contracted work
    • Maintain valid, licensed software for all applications within the client environment
    • Notify Osiris.TECH promptly of any known or suspected security incidents, system anomalies, or changes to the environment that may affect service delivery
    • Provide accurate, complete, and timely information when requested
    • Ensure that all data within the client environment is held and processed in compliance with applicable law

    6.3 Third-Party Products and Platforms

Osiris.TECH may recommend, procure, or deploy third-party hardware, software, and cloud services as part of a client engagement. While we evaluate vendors carefully, we do not manufacture or control third-party products and cannot guarantee their performance, availability, or security. Clients acknowledge that use of third-party platforms is subject to the terms and conditions of those vendors, and that Osiris.TECH bears no liability for failures, outages, or security events attributable solely to a third-party product or service.

    6.4 Compliance and Regulatory Advisory

Osiris.TECH offers advisory services in connection with frameworks such as HIPAA, NIST, SOC 2, PCI DSS, CMMC, and similar standards. These services are designed to strengthen client security posture and support compliance readiness. However, they do not constitute legal advice and do not guarantee regulatory compliance. Clients are solely responsible for their own compliance obligations and should engage qualified legal counsel for definitive compliance determinations.

    7. Fees and Payment

All fee structures, billing cycles, and payment terms are documented in the applicable service agreement. The following general provisions apply across all engagements unless a signed agreement specifies otherwise:

    Topic General Provision
Currency All fees are quoted and payable in U.S. Dollars unless otherwise stated in writing
Payment terms Invoices are due within 30 days of the invoice date unless the service agreement specifies a different term
Late payments Amounts not received by the due date may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower
Service suspension Osiris.TECH may suspend services for non-payment after providing written notice and a 10-business-day cure period
Fee adjustments Recurring service fees may be adjusted with 60 days’ written notice, subject to any rate-lock provisions in the signed agreement
Taxes Client is responsible for all applicable sales, use, VAT, or similar taxes; Osiris.TECH collects taxes where legally required to do so
Disputed invoices Clients must notify us in writing within 15 days of an invoice date to dispute any charge; undisputed amounts remain due
Refunds Fees for services already rendered are non-refundable unless the service agreement explicitly provides otherwise

    8. Confidentiality

In the ordinary course of a managed services engagement, each party may share information that is sensitive or proprietary. Both parties commit to handling that information responsibly.

    8.1 Definition

“Confidential Information” means any non-public information disclosed by one party to the other — whether in writing, verbally, or by observation — that is either labeled confidential or that a reasonable person would understand to be confidential given the nature of the disclosure. This includes, without limitation: business strategies, financial data, client lists, technical specifications, network diagrams, security configurations, source code, and pricing.

    8.2 Obligations

    Each party agrees to:

    • Hold the other party’s Confidential Information in strict confidence using at least the same degree of care it applies to its own sensitive information, and no less than reasonable care
    • Use Confidential Information solely for the purposes of fulfilling obligations or exercising rights under the applicable service agreement
    • Disclose Confidential Information only to employees, contractors, or advisors who have a genuine need to know and who are themselves bound by confidentiality obligations no less protective than those in this section
    • Promptly notify the disclosing party if it becomes aware of any unauthorized access to or disclosure of Confidential Information

    8.3 Exclusions

Confidentiality obligations do not apply to information that:

    • Is or becomes publicly available through no act or omission of the receiving party
    • Was already known to the receiving party before disclosure, as evidenced by prior written records
    • Is received from a third party who is not under any obligation of confidentiality with respect to that information
    • Is developed independently by the receiving party without reference to or use of the disclosing party’s Confidential Information
    • Must be disclosed to comply with a court order, subpoena, or applicable law — provided the receiving party gives prompt notice to allow the disclosing party to seek a protective order where feasible

    8.4 Client Data

Personal data and business data belonging to a client and processed by Osiris.TECH in the course of service delivery are governed by the applicable service agreement and, where required, a Data Processing Addendum. Our Privacy Policy at www.osiris.tech/privacy-policy describes how we handle personal information collected through the website.

    9. Disclaimers

    9.1 Site Provided As-Is

The Osiris.TECH website and all content on it are provided on an as-is, as-available basis. We make no representations or warranties — express, implied, or statutory — regarding the Site, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or completeness.

Specifically, we do not warrant that:

    • The Site will be available at all times or free from errors, interruptions, or security vulnerabilities
    • Information on the Site is current, accurate, or complete
    • The Site is free of viruses, malware, or other harmful components
    • Results described on the Site will be achieved in any specific client engagement

    9.2 No Professional Advice

Content on the Site — including blog posts, case studies, security guides, and similar materials — is provided for general informational purposes only. It does not constitute legal, financial, compliance, or technical advice for your specific situation. You should not act on any information from the Site without first obtaining qualified professional advice tailored to your circumstances.

    9.3 Third-Party Content

The Site may reference or link to content produced by third parties, including technology vendors, industry analysts, and news sources. We do not endorse and are not responsible for the accuracy, availability, or practices of any third-party content or website.

    10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OSIRIS,LLC (OSIRIS.TECH) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS
WILL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.
YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE WEBSITE IS TO DISCONTINUE USE.

    • Indirect, incidental, special, consequential, exemplary, or punitive damages
    • Loss of revenue, profit, data, business opportunity, or goodwill
    • Business interruption or loss of use
    • Cost of procuring substitute services
    • Any harm arising from your reliance on information provided on the Site

THESE EXCLUSIONS APPLY EVEN IF OSIRIS.TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

IN ALL CASES WHERE LIABILITY CANNOT BE FULLY EXCLUDED, OSIRIS.TECH’S TOTAL AGGREGATE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL FEES PAID BY YOU TO OSIRIS.TECH IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the minimum extent required by law. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

    11. Indemnification

11.1 Your Obligation to Indemnify Osiris.TECH

You agree to defend, indemnify, and hold harmless Osiris, LLC and its officers, directors, employees, contractors, and agents against any claims, demands, losses, damages, costs, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:

    • Your use of the Site in violation of these Terms
    • Your breach of any representation, warranty, or obligation you make under these Terms
    • Your violation of any applicable law or the rights of any third party
    • Any content or Submission you provide through the Site
    • Your gross negligence or willful misconduct

    12. Term, Suspension, and Termination

These Terms remain in effect for as long as you access or use the Site. They do not have a fixed expiration date and do not require you to create an account.

Osiris.TECH may, at its sole discretion and without prior notice or liability:

    • Restrict or block your access to the Site, including by filtering IP addresses or geographic regions
    • Remove or disable any content submitted through the Site that violates these Terms or that we determine is harmful or inappropriate
    • Suspend or shut down the Site temporarily for maintenance, upgrades, or unplanned outages
    • Permanently discontinue the Site or any feature of it

Upon termination of your access, all licenses granted under these Terms terminate immediately. Sections that by their nature should survive — including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — remain in full effect.

    13. Third-Party Links and Resources

The Site may include links to external websites operated by technology vendors, industry organizations, media outlets, and partner companies. These links are provided for informational convenience only and do not signify any endorsement of the linked site, its operator, or its content.

Once you navigate away from www.osiris.tech, these Terms no longer govern your experience. Osiris.TECH has no control over external sites and accepts no responsibility for their content, privacy practices, availability, or security. We encourage you to review the terms and privacy policies of any external site before interacting with it.

    14. Electronic Communications

Visiting the Site, submitting inquiries, and communicating with us by email are all forms of electronic communication. You consent to receive communications from Osiris.TECH electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

You also acknowledge that electronic contracts, forms, and records carry the same legal weight as their paper equivalents, consistent with the Electronic Signatures in Global and National Commerce Act (E-SIGN) and comparable state statutes.

    15. Governing Law and Dispute Resolution

    15.1 Governing Law

These Terms are governed by and interpreted under the laws of the State of Washington, without giving effect to any conflict-of-law rule that would require the application of another jurisdiction’s law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

    15.2 Informal Resolution First

Before pursuing formal legal action, both parties agree to make a genuine effort to resolve any dispute through direct negotiation. The party raising the dispute must send a written notice describing the issue and the relief sought. The parties then have 30 days from that notice to reach a resolution informally before either party may initiate arbitration or litigation.

    15.3 Binding Arbitration

If informal negotiation does not resolve the dispute, it will be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules. The arbitration will be conducted in English and seated in Seattle, Washington. The arbitrator’s written decision will be final and may be entered as a judgment in any court of competent jurisdiction.

By agreeing to arbitration, both parties waive the right to a jury trial and the right to participate in any class action, consolidated proceeding, or representative action. Each dispute must be arbitrated individually.

    15.4 Exceptions to Arbitration

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction without first completing the informal negotiation period, where delay would cause irreparable harm — for example, to prevent imminent misuse of confidential information or infringement of intellectual property rights.

    15.5 Time Limit for Claims

Any claim arising under these Terms must be brought within one year of the date on which the claimant knew or reasonably should have known of the facts giving rise to the claim. Claims filed after this period are permanently barred.

    16. General Provisions

    Provision What It Means
Entire Agreement These Terms, together with our Privacy Policy and any signed service agreements, form the complete agreement between you and Osiris.TECH regarding the Site. They supersede all prior discussions and representations on this subject.
Severability If any provision is found unenforceable, a court or arbitrator may modify it to the minimum extent needed to make it enforceable, or sever it. The remaining provisions continue in full force.
Waiver If Osiris.TECH does not enforce a provision in a particular instance, that is not a waiver of the right to enforce it in the future. Waivers are only effective if made in writing and signed by an authorized representative.
Assignment You may not assign or transfer these Terms or any rights under them without our prior written consent. Osiris.TECH may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, or asset sale without restriction.
Force Majeure Osiris.TECH is not liable for delays or failures caused by circumstances outside our reasonable control, including natural disasters, power outages, cyberattacks by third parties, government actions, pandemics, or telecommunications failures.
No Partnership These Terms do not create any employment, agency, partnership, joint venture, or franchise relationship between you and Osiris.TECH.
Headings Section headings are included for readability only and do not affect interpretation of these Terms.
Notices Legal notices to Osiris.TECH must be sent to legal@osiris.tech. We may send notices to you at any email address you provide.
Amendment We may update these Terms at any time by posting the revised version on the Site with an updated revision date. Your continued use of the Site after posting constitutes acceptance.

    17. Children

The Site is designed for business use by adults. We do not knowingly collect information from or market to anyone under the age of 16. If you believe a minor has submitted personal information through the Site, contact us at legal@osiris.tech and we will delete it promptly.
